Terms of Service

These Terms of Service ("Terms") govern your use of the Peazy payment tracking and business management platform (the "Service"), operated by Eight Summer LLC ("Peazy", "we", "us"). By accessing or using Peazy, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account, accessing, or using Peazy, you agree to these Terms and our Privacy Policy. If you do not agree, you may not use the Service. These Terms constitute a legally binding agreement between you and Peazy.

2. Eligibility

To use Peazy, you must:

• Be at least 18 years old
• Have the legal capacity to enter into binding contracts
• Operate a legitimate business or provide legitimate services
• Provide accurate and complete registration information
• Not be prohibited from using the Service under applicable laws

3. Account Registration and Security

3.1 Account Creation

You must create an account to use Peazy. You agree to provide accurate, current, and complete information during registration and to keep it up to date.

3.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your password
• All activity that occurs under your account, including activity by team members you invite
• Notifying us immediately of any unauthorized access
• Not sharing individual login credentials with others

3.3 Account Suspension

We reserve the right to suspend or terminate your account if you violate these Terms or engage in fraudulent or unlawful activity.

4. Service Description

Peazy provides tools to run the money side of your business, including:

• Payment links for one-time, package, installment, milestone, recurring, and flexible payment plans
• Payment recording, receipt collection, and verification, including AI-assisted receipt reading
• Automated payment reminders and notifications
• Invoices, receipts, and customer records
• Expense tracking and business analytics
• Product catalog and inventory tools
• Importing sales records from marketplace platforms
• Team member and branch management

Important: Peazy does not process, hold, or transfer payments. Your customers pay you directly through your own payment channels (bank accounts, e-wallets, cash, and similar). Peazy provides the tools to request, track, organize, and verify those payments.

We may modify, suspend, or discontinue any part of the Service at any time. For material changes we will give you reasonable advance notice.

5. Subscriptions and Billing

5.1 Plans and Free Trial

Peazy is a paid subscription service. New accounts start with a 7-day free trial with no credit card required. After the trial, continued use of the Service requires an active subscription to one of our plans. Current plans, prices, and plan limits (such as monthly transactions, team members, and branches) are listed on our pricing page.

5.2 Billing and Renewal

Subscriptions are billed in advance on a monthly or yearly basis and renew automatically until cancelled. Payment is processed by our billing provider, Stripe; we do not store your card details. You can cancel at any time from your billing settings, and cancellation takes effect at the end of your current billing period. Except where required by law, subscription fees already paid are non-refundable.

5.3 Price Changes

We may change subscription prices from time to time. We will notify you at least 30 days before a price change affects your subscription, and continued use after the change takes effect constitutes acceptance of the new price.

5.4 No Transaction Fees

Peazy does not charge a percentage of, or any fee on, the payments you collect from your customers. Because payments flow directly between you and your customers, your payment providers (banks, e-wallets) may apply their own fees, which are outside our control.

6. Payments Between You and Your Customers

All payment transactions occur directly between you and your customers through your chosen payment methods. You are solely responsible for delivering the goods or services you sell, handling refunds, disputes, and chargebacks with your customers, complying with your payment providers' terms, and meeting your tax and regulatory obligations. Peazy is not a party to transactions between you and your customers and is not liable for payment-related issues between you.

7. Your Customers' Data

When you record customer information in Peazy, you confirm that you are entitled to collect and use that information for your business. We process it on your behalf to provide the Service, as described in our Privacy Policy. You agree to handle your customers' data in accordance with applicable data protection laws, including the Philippine Data Privacy Act of 2012 where it applies to you.

8. Acceptable Use

8.1 Permitted Use

You may use Peazy only for lawful business purposes in accordance with these Terms and applicable laws.

8.2 Prohibited Activities

You agree not to:

• Use the Service for illegal activities, fraud, or money laundering
• Sell prohibited goods or services (weapons, drugs, counterfeit items, and similar)
• Violate intellectual property rights
• Transmit malware, viruses, or harmful code
• Attempt to gain unauthorized access to our systems or other users' accounts
• Interfere with or disrupt the Service
• Use automated systems (bots, scrapers) without permission
• Impersonate others or provide false information
• Use payment records or receipts to misrepresent transactions to third parties

9. Intellectual Property

9.1 Peazy's Property

The Service, including its design, features, functionality, and content, is owned by Peazy and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our written permission.

9.2 Your Content

You retain ownership of the content you upload to Peazy, including business information, invoices, receipts, and customer records. By using the Service, you grant us a limited license to use, store, process, and display your content solely to provide and improve the Service.

10. AI-Assisted Features

Some features use artificial intelligence to extract information from receipts and imported documents. AI output can be incomplete or incorrect, and it is provided as an aid, not a substitute for your own review. You are responsible for reviewing and confirming any AI-extracted details before relying on them, and we are not liable for losses arising from unreviewed or inaccurate AI output.

11. Disclaimers

11.1 Service "As Is"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

11.2 No Guarantee

We do not guarantee that the Service will be uninterrupted, error-free, or secure. You use the Service at your own risk.

11.3 Records, Not Guarantees

Peazy organizes the payment information you and your customers enter, and does not guarantee its accuracy. You are responsible for verifying transaction details. We are not liable for financial losses resulting from inaccurate records, missed payments, or payment disputes.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PEAZY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, DATA LOSS, OR BUSINESS INTERRUPTION, ARISING FROM YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100 USD IF YOU HAVE NOT PAID ANY FEES.

13. Indemnification

You agree to indemnify, defend, and hold harmless Peazy, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any law or third-party rights
• Your content, your business activities, or transactions with your customers

14. Dispute Resolution

14.1 Governing Law

These Terms are governed by the laws of the jurisdiction where Peazy operates, without regard to conflict of law principles.

14.2 Informal Resolution

Before pursuing formal legal action, you agree to first contact us at legal@peazy.io to seek an informal resolution of any dispute.

14.3 Arbitration

Any dispute that cannot be resolved informally shall be resolved through binding arbitration in accordance with the arbitration rules of the jurisdiction where Peazy operates.

15. Changes to Terms

We may modify these Terms at any time. We will post the updated Terms on this page and revise the "Last updated" date, and for material changes we will notify you by email or in the app. Your continued use of Peazy after changes take effect constitutes acceptance of the updated Terms.

16. Termination

We may terminate or suspend your access to the Service:

• For violation of these Terms
• For fraudulent or illegal activity
• If required by law or a lawful government request
• If your subscription lapses and is not renewed

Upon termination, your right to use the Service ceases. We handle your data after termination in accordance with the retention rules in our Privacy Policy.

17. General Provisions

17.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Peazy regarding the Service.

17.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions remain in full force and effect.

17.3 Waiver

Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

17.4 Assignment

You may not assign or transfer these Terms or your account without our written consent. We may assign these Terms without restriction.
