These Terms of Service ("Terms") govern your use of Peazy's payment and business management platform ("Service"). By accessing or using Peazy, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account, accessing, or using Peazy, you agree to these Terms and our Privacy Policy. If you do not agree, you may not use our Service. These Terms constitute a legally binding agreement between you and Peazy.

2. Eligibility

To use Peazy, you must:

• Be at least 18 years old
• Have the legal capacity to enter into binding contracts
• Operate a legitimate business or provide legitimate services
• Provide accurate and complete registration information
• Not be prohibited from using our Service under applicable laws

3. Account Registration and Security

3.1 Account Creation

You must create an account to use Peazy. You agree to provide accurate, current, and complete information during registration and to update it as necessary to maintain its accuracy.

3.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your password
• All activities that occur under your account
• Notifying us immediately of any unauthorized access
• Not sharing your account with others

3.3 Account Termination

We reserve the right to suspend or terminate your account if you violate these Terms, engage in fraudulent activity, or for any other reason at our discretion.

4. Service Description

Peazy provides:

• Payment request link generation and management
• Payment receipt tracking and organization
• Invoice creation and distribution
• Customer database and transaction record management
• Business management tools and analytics
• QR code generation for payment information sharing

Important: Peazy does not process payments. We provide tools to help you track and organize payment records from your existing payment methods (bank accounts, e-wallets, etc.). All actual payments occur outside of Peazy through your chosen payment channels.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with or without notice.

5. Service Fees and Payment Records

5.1 No Payment Processing

Peazy does not process, hold, or transfer any payments. We provide tools for you to track and organize payment records. All actual payment transactions occur directly between you and your customers through your chosen payment methods (bank accounts, e-wallets, etc.). You are responsible for complying with your payment provider's terms and conditions.

5.2 Service Fees

Peazy is currently free to use. We reserve the right to introduce fees for certain features or services in the future. You will be notified in advance of any fee changes, and continued use of paid features constitutes acceptance of those fees.

5.3 Your Responsibility

You are solely responsible for all transactions conducted through your payment channels. This includes handling refunds, disputes, chargebacks, and compliance with applicable laws and regulations. Peazy is not liable for any payment-related issues between you and your customers.

6. Acceptable Use

6.1 Permitted Use

You may use Peazy only for lawful business purposes in accordance with these Terms and applicable laws.

6.2 Prohibited Activities

You agree not to:

• Use the Service for illegal activities, fraud, or money laundering
• Sell prohibited goods or services (weapons, drugs, counterfeit items, etc.)
• Violate intellectual property rights
• Transmit malware, viruses, or harmful code
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the Service
• Use automated systems (bots, scrapers) without permission
• Impersonate others or provide false information
• Engage in activities that harm Peazy or other users

7. Intellectual Property

7.1 Peazy's Property

The Service, including its design, features, functionality, and content, is owned by Peazy and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our written permission.

7.2 Your Content

You retain ownership of content you upload to Peazy (business information, invoices, customer data). By using the Service, you grant us a limited license to use, store, and display your content solely to provide the Service.

8. Data and Privacy

Your use of Peazy is subject to our Privacy Policy, which explains how we collect, use, and protect your information. By using the Service, you consent to our privacy practices as described in the Privacy Policy.

9. Disclaimers

9.1 Service "As Is"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

9.2 No Guarantee

We do not guarantee that the Service will be uninterrupted, error-free, secure, or free from viruses or other harmful components. You use the Service at your own risk.

9.3 Payment Records Only

Peazy provides record-keeping tools only and does not guarantee the accuracy of payment information you enter. You are responsible for verifying all transaction details. We are not liable for any financial losses resulting from inaccurate records, missed payments, or payment disputes.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PEAZY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, DATA LOSS, OR BUSINESS INTERRUPTION, ARISING FROM YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100 USD IF YOU HAVE NOT PAID ANY FEES.

11. Indemnification

You agree to indemnify, defend, and hold harmless Peazy, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any law or third-party rights
• Your content or business activities

12. Dispute Resolution

12.1 Governing Law

These Terms are governed by the laws of the jurisdiction where Peazy operates, without regard to conflict of law principles.

12.2 Informal Resolution

Before pursuing formal legal action, you agree to first contact us to seek informal resolution of any dispute.

12.3 Arbitration

Any disputes that cannot be resolved informally shall be resolved through binding arbitration in accordance with the arbitration rules of the jurisdiction where Peazy operates.

13. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by posting the new Terms on this page and updating the "Last updated" date. Your continued use of Peazy after changes constitutes acceptance of the updated Terms.

14. Termination

We may terminate or suspend your access to the Service:

• For violation of these Terms
• For fraudulent or illegal activity
• If required by law or government request
• At our discretion with or without cause

Upon termination, your right to use the Service ceases immediately. We may delete your account and data in accordance with our data retention policies.

15. General Provisions

15.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Peazy regarding the Service.

15.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

15.3 Waiver

Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

15.4 Assignment

You may not assign or transfer these Terms or your account without our written consent. We may assign these Terms without restriction.
